Regarding the alleged admissibility of the defense of non-performance in the so-called management contract The article takes inspiration from the prevailing jurisprudence, both in terms of merit and legitimacy, which asserts that it is possible to invoke the defense of non-performance under Article 1460 of the Civil Code against a director of a capital company, without the need to initiate corporate liability proceedings as provided for in Articles 2392 et seq., as well as 2476 of the Civil Code. According to the author’s opinion, contractual self-defense against the director is not justifiable for two reasons: firstly, because the relationship or administration contract does not fall within the category of contracts involving reciprocal performance, which are instead compatible with the defense of contractual non-performance; secondly, the presence of specific provisions regarding corporate liability actions precludes the invocation of defenses that could hinder the creditor claims of the directors.
