The Italian Supreme Court addresses the prohibition of leonine agreements in relation to shareholders’ agreements, focusing on a market-value protection clause agreed as part of a share-exchange transaction. The Court upholds the validity of the clause, as it may not alter in a “total and constant” manner the status of the protected shareholder. The comment proceeds on the assumption that shareholders’ agreements cannot affect the causa societatis, as they do not alter the organizational rules governing the participation in profits and losses. The Court’s assessment therefore applies regardless of the specific content of the clause. The relevant issue instead lies in preventing or sanctioning potential abusive conduct. In particular, a market-value protection mechanism may create incentives for opportunistic behaviour by the protected shareholder, given the expectation of recovering the value of the investment. From this perspective, the clause complies with the prohibition of leonine agreements. The proper exercise of shareholders’ rights is ensured by the general principle of self-responsibility, which requires the guaranteed party to act correctly in order to retain the benefit of the clause.

La Corte di Cassazione affronta il tema dell’applicazione del divieto di patto leonino agli accordi parasociali, con particolare riferimento a una clausola di garanzia sul valore di mercato delle azioni stipulata nell’ambito di un contratto di permuta azionaria. Si afferma la validità di detta clausola, poiché concretamente inidonea ad alterare in modo «totale e costante» il ruolo del socio beneficiario. La nota di commento sottolinea che una simile conclusione vale a prescindere dal contenuto della clausola: un accordo parasociale non può incidere sulla causa societatis poiché non modifica le regole organizzative in tema di partecipazione agli utili e alle perdite. Si pone piuttosto la diversa esigenza di prevenire o sanzionare eventuali condotte abusive del socio beneficiario: si profila cioè il rischio che il soggetto garantito sia incentivato a tenere comportamenti scorretti, confidando nella garanzia di poter recuperare il valore del proprio investimento. Anche sotto questo profilo la clausola in esame è conforme al divieto di patto leonino: il corretto esercizio dei diritti sociali è assicurato dal generale principio di autoresponsabilità, che impone al soggetto garantito di tenere un comportamento corretto al fine di non perdere il beneficio della garanzia.
