Estinzione e continuità dei rapporti giuridici nella fusione, con uno sguardo all’apertura delle procedure concorsuali

The Supreme Court of Cassation has overturned its former orientation, resulting from a Court order of 2006, by stating that the merger dissolves the incorporated company: the comment once again examines, albeit from a different and complementary perspective with respect to the work of Prof. Cagnasso already published in this journal, the relationship between dissolution and continuity of legal relationships in mergers, broadening the scope of the analysis also to the issue of the opening of bankruptcy proceedings.

La Suprema Corte, ribaltando il precedente orientamento successivo all’ordinanza del 2006, ha statuito che la fusione estingue la società incorporata: il commento torna a esaminare, seppur da una prospettiva diversa e complementare rispetto al commento del prof. Cagnasso già edito su questa Rivista, il rapporto tra estinzione e continuità dei rapporti giuridici nella fusione, allargando il campo dell’analisi anche alla tematica dell’apertura delle procedure concorsuali.
