In spite of continuous efforts to improve the Italian legislation and to keep it on pace with the harmonization of the national laws on corporations, there are many aspects of the ultra vires doctrine that need clarification. The Italian practice is reluctant and there are areas in which the law is simply ignored. This paper aims at making all the scaffold down, through a patient and deep confutation of the most frequent errors in the field.
