Abstract: The chapter analyses the fit and proper regime applicable to members of the management body and key function holders of banks under the CRD, as amended by CRD VI. Starting from the intrinsic structural fragility of banks and the systemic consequences of bank failures, it explains why robust corporate governance frameworks and effective suitability requirements are necessary to support the sound and prudent management of banks and to mitigate negative externalities for the financial system at large.
The chapter examines the main policy choices of the CRD VI legislator: the clarification of the existing regime for members of the management body, the strengthening of procedural requirements governing suitability assessments, and the introduction of a dedicated regime for key function holders under Article 91a. Particular attention is paid to individual and collective suitability, the role of competent authorities, ex ante and ex post assessments, information duties, reassessment, and the application of the proportionality principle.
The chapter argues that CRD VI moves towards a more harmonised, preventive and comprehensive framework. At the same time, it highlights points that may require further refinement, including the discretion afforded to competent authorities, the risk of divergent implementation across Member States, and the possible need to differentiate fit and proper criteria and requirements according to the specific functions performed and their potential impact on institutional stability.2026-01-01T00:00:00ZNota al testo di F. Abstract: The essay analyzes the role of Nanda Vigo's interiors in a series of mistery and thriller Italian movies from the 1970s; as well as the art pieces included in such spaces.
